Deedz Venue Services Agreement

Version 1.3 · 27 October 2026

This Agreement is between Dentaco F.Z.E (trading as “Deedz”), a Free Zone Entity (F.Z.E) registered with the Free Zones Authority of Ajman, licence no. 29509, of Premises FL.H-01342, Ajman Free Zone C1 Building, Ajman Free Zone, Ajman, United Arab Emirates (the “Provider”), and the venue operator named in Schedule 1 or who accepts these terms online on Deedz (the “Venue”). By signing Schedule 1, or by ticking “I agree” when first signing in to its Deedz venue account, the Venue accepts this Agreement.

1. What Deedz is

Deedz is an online service at deedz.ae that lets guests at a venue request a song from the DJ and name an amount (an “Offer”) for that request (the “Service”). The DJ accepts or passes. With the default setting, a guest is asked to pay only after the DJ accepts; a pass or a timeout costs the guest nothing. The Provider may also run the Service in a “pay upfront” mode, in which a passed or expired Offer is refunded to the guest automatically.

The guest buys a priority song-request service from the Provider. Card payments are processed by Ziina, a payment provider licensed by the Central Bank of the UAE; the Provider never sees or stores card details.

2. Getting started

To go live the Venue must: (a) sign this Agreement or accept it online; (b) provide the onboarding documents listed in Schedule 2 and the payout details in Schedule 3; (c) complete the declaration in Schedule 2; and (d) display the Deedz QR code only at the venue named in Schedule 1.

The Venue is responsible for everyone it gives access to its Deedz account or DJ list, and for keeping its login and venue code confidential.

3. Money: fees, Venue Share and payouts

For every Offer that the DJ accepts and the guest pays (an “Accepted Request”), the Provider keeps its platform fee (the “Platform Fee”, a percentage of the Offer, set out in Schedule 1) and any guest service fee shown to the guest at checkout. The rest of the Offer is the “Venue Share”.

The Provider pays the Venue Share for each calendar month by bank transfer to the account in Schedule 3 within the first ten (10) business days of the following month, together with a payout statement (also available on the Venue’s dashboard). Passed, expired, unpaid and refunded requests earn nothing and cost the Venue nothing.

The Venue pays its DJs a share of the Venue Share (the “DJ share”) of at least forty per cent (40%), or the higher percentage it sets in Deedz; Deedz shows it to its DJs on every offer. The DJ share is part of the Venue Share: the Venue pays its DJs itself. The Provider has no payment obligation to any DJ.

The Provider may deduct from any payout: amounts refunded or charged back to guests for requests at the Venue, and any amount paid to the Venue in error. Payout statements are final unless the Venue raises a written query within thirty (30) days.

Taxes: each party is responsible for its own taxes. If the Venue is registered for UAE VAT, it will give the Provider a valid tax invoice (or agree a self-billing arrangement in writing) for the Venue Share. The Provider may change the Platform Fee or guest service fee on thirty (30) days’ written or in-app notice; the Venue may terminate before the change takes effect.

4. The Venue’s obligations

The Venue will: operate lawfully; make sure its DJs use Deedz honestly (a DJ should only accept requests it intends to play and should mark songs played); not use Deedz for anything that is gambling, a wager, misleading or unlawful; not present Offers as anything other than a priority-request fee; deal with guests on its premises courteously; and promptly pass the Provider any guest complaint about payment.

The Venue grants the Provider permission to show the Venue’s name, city and QR page inside the Service and, with prior approval, to name the Venue as a customer.

5. Licences, responsibility and no risk to the Provider

The Provider supplies software and a payment flow — nothing more. The Provider does not own, operate, manage, supervise or control the Venue, its premises, its events, its staff, its DJs or performers, its guests, or the music played there, and is not the Venue’s partner, agent, employer, joint-venturer or insurer.

The Venue alone is responsible for, and warrants that it holds and will keep valid at its own cost for the whole term:

  • its trade licence and every other licence, permit, registration and approval needed to run the venue and host events, entertainment, DJs and recorded or live music — including any permits from the Department of Economy and Tourism in Dubai or the equivalent authority in any other emirate, and any civil defence, municipality, police or free-zone approvals;
  • every licence or permission needed for the public performance, broadcast or playing of music and other content at the venue, including from any copyright owner or collective management organisation;
  • any liquor licence, age-restriction, dress-code, noise, occupancy, opening-hours, health-and-safety and security obligations;
  • the employment, contracting, visas, work permits, insurance and payment of its staff, DJs and performers (including any DJ share shown in Deedz — the Venue pays its DJs, not the Provider);
  • everything played, said, displayed or done at the venue, whether or not it came through a Deedz request, and compliance with UAE laws on media content, public morals and public order;
  • its own taxes (including VAT, if it is registered) on the money it receives, and its own accounting.

The Provider does not check, verify or monitor any of the above, and nothing the Provider does (including onboarding the Venue, applying song-content rules or displaying information) is an approval, certification or assurance that the Venue is licensed or compliant. Song-content filters are a convenience only; the DJ and the Venue decide what is actually played.

The Provider accepts no responsibility and no liability for any fine, penalty, closure, claim, loss, damage, injury or cost arising from the Venue’s licences or lack of them, its premises, its events, its staff, DJs or guests, the music or content played, or anything else done or not done by the Venue or anyone at the venue. The Venue will indemnify and hold harmless the Provider, its owner, manager and staff against any such claim, fine, loss or cost (including reasonable legal fees), and this indemnity survives the end of this Agreement.

If the Provider reasonably believes a required licence is missing, lapsed or suspended, or that the Venue is breaking the law, it may suspend the Venue’s account immediately without liability. The Venue must tell the Provider within 48 hours if any licence or permit relevant to its events lapses, is suspended or is refused.

6. Limitation of liability

To the fullest extent permitted by UAE law: the Service is provided “as is” and “as available”; the Provider gives no warranty that it will be uninterrupted, error-free or produce any level of income; and the Provider is not liable for any indirect, consequential or special loss, loss of profit, revenue, business, goodwill or data, or for the acts, omissions or outages of Ziina, banks, app stores, hosting, email or music-catalogue providers.

The Provider’s total liability arising out of or in connection with this Agreement, however it arises, is limited to the Platform Fees the Provider actually retained from the Venue’s requests in the three (3) months before the event giving rise to the claim.

Nothing in this Agreement limits liability that cannot be limited under UAE law, such as liability for fraud or wilful misconduct.

7. Data protection

Each party will comply with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021) and other applicable data-protection law. The Provider processes guest, DJ and Venue data as described in its Privacy Policy at deedz.ae/privacy. The Venue receives request details and statements for its own events only and will use them only to run its venue.

8. Intellectual property

The Provider owns Deedz, its software, design and brand. The Venue gets a non-exclusive, non-transferable right to use the Service and the Deedz QR materials during the term. The Venue keeps all rights in its own name and logo.

9. Term, suspension and termination

This Agreement runs until either party ends it with fourteen (14) days’ written notice (email is enough). Either party may end it immediately if the other materially breaches it and does not fix the breach within seven (7) days of notice. The Provider may suspend or end the Service immediately under section 5, or if required by law, a regulator or its payment provider.

On termination the Provider pays any Venue Share owed (less permitted deductions) with the next monthly payout, and the Venue stops displaying the Deedz QR code. Sections 3 (for amounts owed), 5, 6, 7, 10 and 11 survive termination.

10. Changes to these terms

The Provider may update this Agreement by giving the Venue at least thirty (30) days’ notice by email or in the dashboard. If the Venue does not agree, it may terminate before the change takes effect; continued use after that date means acceptance.

11. General

This Agreement is the whole agreement between the parties about the Service. Neither party may assign it without the other’s consent, except that the Provider may assign it to a company it controls or to a buyer of the Deedz business. If any part is invalid, the rest stays in force. Notices go to the email addresses in Schedule 1 (for the Provider: support@deedz.ae).

This Agreement is governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, and the courts of Dubai have exclusive jurisdiction. It is made in English; if it is translated, the English version prevails.
